1. Introduction and Acceptance
These Terms constitute a legally binding agreement between you and SpotFlare, Inc. If you do not agree, do not use the Platform.
2. What SpotFlare Is For
SpotFlare is a real-time social platform built to help people make genuine, in-person connections — for professionals, people new to a city, and anyone seeking real relationships through small-group events and spontaneous meetups in their neighborhood. SpotFlare exists to combat isolation. Events are intended to be small-group gatherings that foster authentic connection — not large impersonal events, not commercial gatherings, and not romantic or dating encounters.
3. Eligibility
You must be at least 18 years of age. We collect your date of birth to verify this. Your age is displayed publicly as a number only — your date of birth is never shared. SpotFlare is currently available in the United States.
4. Your Account
4.1 Account Creation
Provide accurate, current, and complete information. You are responsible for the confidentiality of your credentials.
4.2 Username
Usernames may contain letters, numbers, and underscores (max 20 characters). You may not impersonate others or use offensive usernames. SpotFlare may reclaim usernames at its discretion.
4.3 Profile Photo
A real profile photo is required. Anonymous or fake images are grounds for suspension.
4.4 Account Security
You are solely responsible for all activity under your account. Notify us at support@spotflare.app of any unauthorized use.
5. The Platform
SpotFlare enables you to:
- Create and join small-group events happening nearby
- Discover events within walking distance of your current location
- Signal availability through the Open to Meet feature
- Connect with users through friends and direct messaging
- Share events via branded shareable cards with QR codes
SpotFlare is not a dating app, a ticketing platform, or a business directory.
6. Events
6.1 Creating Events
By creating an event you represent that it is real, that you intend to host it, and that the information is accurate.
6.2 Event Content
You are solely responsible for event content. SpotFlare may remove events that violate these Terms or our Community Guidelines without notice.
6.3 Event Moderation
Organizers may assign up to two moderators and may transfer ownership of an event.
6.4 Shareable Event Cards
By sharing an event card you grant SpotFlare the right to display event info and your username. SpotFlare branding on shared cards remains our intellectual property.
6.5 Cancellation
Cancelling an event notifies all attendees. Repeated cancellations may restrict your ability to create future events.
7. Open to Meet Feature
7.1 Identity Verification Requirement
Requires identity verification and a one-time, non-refundable payment of $5.00 USD processed through Stripe. Verification is permanent once completed.
7.2 Location Visibility
When active, your approximate (neighborhood-level) location is visible to other verified users nearby for the duration you select (one to five hours). Historical location is never stored.
7.3 Expiry
Listings automatically expire. You may deactivate manually at any time.
7.4 Prohibited Use
You may not use Open to Meet for commercial solicitation, harassment, discriminatory conduct, or any purpose violating these Terms. Open to Meet is exclusively for platonic social connection.
8. Friends and Messaging
SpotFlare uses a mutual friendship model. Add friends by phone number, username, or QR code. You are responsible for the content of messages you send. You may block any user at any time; blocking is silent and permanent on your side.
9. User Content
You retain ownership of your User Content. By submitting it you grant SpotFlare a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute your User Content in connection with operating and promoting the Platform. We may remove content that violates these Terms or our Guidelines.
10. Prohibited Conduct
You agree not to:
- Create fake, impersonating, or misleading accounts
- Use the Platform for commercial solicitation, advertising, or spam
- Harass, stalk, threaten, or intimidate other users
- Collect personal information of other users without consent
- Use the Platform for any illegal purpose
- Attempt unauthorized access; use bots, scripts, or scrapers
- Post defamatory, obscene, hateful, or discriminatory content
- Impersonate SpotFlare or any other person or entity
- Interfere with the integrity or performance of the Platform
- Use Open to Meet for romantic or sexual solicitation
- Share other users' personal information without consent
11. Third-Party Services
- Google Cloud Platform — infrastructure (policies.google.com/privacy)
- Stripe — payment processing (stripe.com/privacy, stripe.com/legal)
- Twilio — SMS and phone number verification (twilio.com/legal/privacy)
- Mapbox — map rendering and location services (mapbox.com/legal/privacy)
12. Payments and Verification Fee
The $5.00 USD identity verification fee is processed by Stripe and is non-refundable except as required by law. SpotFlare does not store full payment card information.
13. Privacy
Our Privacy Policy is incorporated by reference. By using SpotFlare you agree to our Privacy Policy.
14. Intellectual Property
The SpotFlare name, logo, and all related marks are the exclusive property of SpotFlare, Inc. Nothing in these Terms grants you any right to use our trademarks without prior written consent.
15. Disclaimers
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. SPOTFLARE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. MEETING OTHER USERS IN PERSON INVOLVES INHERENT RISKS THAT YOU ASSUME.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTFLARE'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF $10.00 USD OR THE AMOUNT YOU PAID TO SPOTFLARE IN THE 12 MONTHS PRECEDING THE CLAIM.
17. Indemnification
You agree to defend, indemnify, and hold harmless SpotFlare, Inc. and its officers, directors, employees, and agents from any claims arising out of your use of the Platform, your User Content, or your violation of these Terms.
18. Termination
SpotFlare may suspend or terminate your account at any time for any reason. You may delete your account through app settings. Provisions that by their nature should survive termination shall survive.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved exclusively in the state or federal courts located in Delaware.
20. Changes to These Terms
We will notify you of material changes. Continued use after changes become effective constitutes acceptance.
